Terms of Service

Use Passband in good faith. We'll do the same. Passband is a tool — not a compliance officer, lawyer, or financial advisor. You review and approve everything before it goes live. Cancel any time — email us and you're done. No hoops, no hassle.

Passband is a product of Noncelogic LLC (“Noncelogic,” “we,” “us,” “our”). These terms are a legal agreement between you and Noncelogic LLC, doing business as Passband.

Passband is an AI-powered content intelligence pipeline. It monitors source feeds, scores content for relevance, and generates draft social media posts and other content formats calibrated to your voice profile. Passband is a technological conduit — a tool that assists with content drafting, not a substitute for professional judgment.

All content generated by Passband must be reviewed and approved by a human before publishing. This is a core design principle of the platform, not an optional feature.

• No content is automatically published without explicit human approval.
• You agree not to circumvent, automate around, or disable the review and approval workflow.
• Once you approve and publish content, it becomes your responsibility — Passband is the drafting tool, you are the publisher.

By creating an account, you agree to:

• Provide accurate information when signing up.
• Keep your account credentials secure.
• Use the service in compliance with applicable laws and these terms.
• Not use Passband for anything illegal or harmful.

You agree not to use Passband to:

• Generate or distribute illegal, defamatory, or harmful content.
• Produce spam, unsolicited bulk messaging, or misleading content at scale.
• Circumvent the human-in-the-loop approval workflow or automate publishing without human review.
• Resell Passband access or operate it as an intermediary service.
• Attempt to circumvent rate limits, security measures, or access controls.
• Scrape, reverse-engineer, or extract data from the platform beyond normal usage.

If usage becomes excessive or violates these terms, we'll reach out before taking action when possible.

Passband uses AI to generate drafts and content suggestions. Important things to know:

• No warranty — AI output may be inaccurate, incomplete, or unsuitable. Always review before publishing.
• Your responsibility — once you approve and publish content, it's yours. You are responsible for what you publish.
• No guarantees — we don't guarantee that AI-generated content will be original, factual, compliant with any regulation, or free from bias.
• No fiduciary liability — Passband bears no liability for regulatory, compliance, or fiduciary consequences arising from content you choose to publish.

You own everything you create in Passband — your sources, drafts, voice profiles, and pipeline configurations. We don't claim any rights to your content.

You grant us a limited license to store and process your content solely for the purpose of providing the service. Passband retains no rights to your published drafts. That's it.

Passband lets you connect your own API keys for third-party AI providers (OpenAI, Anthropic, etc.). When you use BYOK:

• Your keys, your costs — API usage is billed directly by the third-party provider. Passband is not responsible for API costs incurred through your keys. We don't control their pricing, rate limits, or availability.
• Your responsibility — you're responsible for complying with each provider's terms of service.
• We keep them safe — your API keys are encrypted at rest and never shared. See our Privacy Policy for details.

Passband offers paid subscription plans with recurring billing. By subscribing, you agree to:

• Recurring charges — your subscription renews automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
• Trial period — new accounts may receive a 60-day free trial. If you do not cancel before the trial ends, your payment method will be charged for the selected plan.
• Price changes — we may change subscription prices with 30 days' advance notice. Existing subscribers are grandfathered at their current rate until their next renewal after the notice period.
• Refunds — we do not offer prorated refunds for partial billing periods, except as required by law.

Passband may offer lifetime access deals (“LTO”) to founding members. These terms apply:

• “Lifetime” defined — lifetime access means access for the operational life of the Passband product. It does not mean perpetual or irrevocable access. If Passband ceases to operate as a product, lifetime access ends.
• Feature parity — LTO holders receive access to features available in their tier at the time of purchase. Major new features or tiers introduced after purchase may not be included.
• Non-transferable — LTO access is tied to the purchasing account and cannot be transferred or resold.
• Subject to ToS — LTO holders remain subject to these Terms of Service, including acceptable use and termination provisions.

Cancel any time, no questions asked. Here's how:

• Go to your account settings and cancel from the billing page.
• Or email support@passband.ai and tell us you want to cancel.

Cancellation takes effect at the end of your current billing period. You retain access until then. We'll process your request promptly — no retention tricks, no hidden fees, no dark patterns.

Passband reserves the right to suspend or terminate accounts that violate these Terms of Service, including but not limited to:

• Violating acceptable use policies.
• Circumventing the human-in-the-loop approval workflow.
• Using the service for illegal purposes.
• Engaging in abusive behavior toward other users or our team.

We will provide notice and an opportunity to remedy the violation when practical. In cases of severe or illegal misuse, we may terminate access immediately.

We strive for high uptime but can't guarantee 100% availability. We may occasionally take the service offline for maintenance. We'll give advance notice when possible.

To the maximum extent permitted by law, Noncelogic LLC is not liable for indirect, incidental, special, or consequential damages arising from your use of Passband, including but not limited to damages arising from content you publish, regulatory actions, compliance failures, or reliance on AI-generated output. Our total liability is limited to the amount you've paid us in the 12 months before the claim.

You agree to indemnify and hold harmless Noncelogic LLC, its officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of the service, (b) content you publish through the platform, (c) your violation of these terms, or (d) your violation of any applicable law or regulation.

These terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these terms or your use of Passband shall be resolved in the state or federal courts located in New York County, New York.

We may update these terms from time to time. If we make material changes, we'll notify you via email or an in-app notice at least 30 days before the changes take effect. By continuing to use Passband after changes take effect, you agree to the updated terms.
